Terms of Service

1. Acceptance of Terms

By accessing or using Flow by NBS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Your continued use of the Service constitutes acceptance of any updates or modifications to these Terms.

2. Description of Service

Flow by NBS is an enterprise resource planning (ERP) software-as-a-service (SaaS) platform provided by Numero Business Solutions ("NBS"), a Nigerian financial consultancy. The Service helps businesses manage inventory, revenue, expenses, invoicing, and workflows through a web-based application.

3. Account Registration

To use the Service, you must register for an account. You must be at least 18 years of age to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Subscription and Payment

Flow by NBS is a paid, subscription-based service. After any applicable trial period, continued access requires an active subscription. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.

Refunds are granted only in exceptional circumstances at the sole discretion of NBS. NBS reserves the right to change pricing with at least 30 days written notice. Accounts with overdue payments may be suspended until the balance is settled.

5. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service. You may not attempt to reverse engineer, decompile, or disassemble any part of the Service. Reselling, sublicensing, or redistributing access to the Service without prior written permission from NBS is prohibited.

6. User Data

You retain full ownership of all data you enter into the Service ("User Data"). NBS processes User Data solely on your behalf to provide and improve the Service. NBS will not sell, share, or use User Data for purposes unrelated to the Service without your explicit consent.

7. Service Availability

NBS strives to maintain high availability of the Service but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. NBS will make reasonable efforts to notify users in advance of planned downtime.

8. Intellectual Property

The Service, including its design, code, features, documentation, and all associated intellectual property, is owned by Numero Business Solutions. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law, NBS and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, or business opportunities, even if NBS has been advised of the possibility of such damages.

NBS's total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to NBS in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless NBS and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate the agreement at any time. You may terminate your account by contacting us. NBS may terminate or suspend your access if you violate these Terms or for any other reason with reasonable notice. Upon termination, your data will be retained for 30 days, after which it will be permanently deleted. You may request an export of your data during this retention period.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law provisions.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act of Nigeria. Each party shall bear its own costs, and the arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

14. Changes to Terms

NBS reserves the right to modify these Terms at any time. Material changes will be communicated to you via email or through the Service with at least 30 days notice. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
